Terms of UseLast updated: November 3, 2026

These Terms of Use (“Terms”) govern your access to and use of the Ironclad Portal and related services (the “Platform”) operated by Ironclad Construction LLC (“Ironclad,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Description of the Platform

The Platform is a work-order and communication tool designed for Ironclad Construction LLC, its subcontractors, and its clients/property managers. It allows authorized users to create, track, update, and close work orders, exchange messages, upload photos, record materials and costs, and generate completion records.

2. Eligibility & Accounts

  • You must be at least 18 years old.
  • You must provide accurate information.
  • You are responsible for all activity under your account or role access.
  • Tom Alan Blake Jr. (Owner) controls who is granted access and at what permission level.

3. Roles & Permissions

The Platform supports different roles (Owner, Subcontractor, Client/Property Manager). Each role has limited permissions. You agree to use only the access granted to you and not to attempt to access information or functions outside your role.

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose.
  • Upload false, misleading, or harmful content.
  • Interfere with or disrupt the Platform.
  • Attempt to gain unauthorized access to other users’ data.
  • Use the Platform to harass, abuse, or harm others.
  • Reverse engineer or attempt to extract source code except as allowed by law.

5. Work Orders, Content & Records

  • You retain ownership of the content you submit, including notes and photos.
  • By submitting content, you grant Ironclad a license to use, store, display, and process it as needed to operate the Platform and perform related construction or maintenance work.
  • Work order records are business records of Ironclad Construction LLC.
  • Completion reports and job records may be shared with the relevant client or property manager.

6. No Professional Advice

The Platform is a coordination and record-keeping tool only. It does not provide legal, engineering, or professional advice. Actual work is performed under separate agreements between the parties.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONCLAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

To the maximum extent permitted by law, Ironclad and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Platform.

Our total liability for any claim arising out of these Terms or the Platform shall not exceed one hundred dollars ($100) or the amount you paid (if any) to use the Platform in the twelve months before the claim, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Ironclad and its owners from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Platform, your content, or your violation of these Terms.

10. Termination

We may suspend or terminate your access at any time if you violate these Terms or for any other reason. You may stop using the Platform at any time. Provisions that by their nature should survive, including ownership, disclaimers, limitations, and indemnification, will survive termination.

11. Changes to the Terms

We may update these Terms from time to time. The updated version will be posted on the Platform. Continued use of the Platform after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Spokane County, Washington.
